| 中文概述 Chinese Description | 本教學目標係讓研修本課程同學瞭解下列諸重點： 其一，為衡酌國際組織及世界潮流趨勢，推動或規劃各項健全公司治理機制；其二，為增進證券商業務；其三，為與外國簽訂資訊合作協定；其四，為加強防制證券市場操縱、內線交易不法行為，以落實保障投資人權益。 教學內容，除包括證券交易制度之完善與否外，更涉及下列幾個法律問題： 一、 建立更完善之制度，以披露證券市場信息。 二、 對證券市場中介機構--例如律師、會計師、證券商之義務與責任，應更明確規範。 三、 對證券市場之民事賠償制度--包括民事賠償責任之構成要件、過失之判斷標準、因果關係之確定，以及損害賠償之計算方法等，均應更明確規範。 四、 對證券市場之訴訟外糾紛解決機制（Alternative Dispute Resolution, 簡稱ADR ），應該更加重視。 五、 政府監管之法律規範，應與業者自律問題並重。 | |||
| 英文概述 English Description | This course tries to introduce the Securities and Exchange Act in Taiwan and compare it with relevant acts taken effect at other countries. According to Securities and Exchange Act Article 1 provided, this Act is enacted for the purpose of promoting the national economic development and the protection of investors. If the stocks obtain permission to go public, the shareholders become more numerous. As soon as it is to terminate listed securities, the company is going to privately-owned of the minority shareholder. | |||
